Welcome to Distdel. By accessing our website, mobile application, or any associated API endpoints, you unconditionally accept and agree to be bound by these comprehensive Terms & Conditions. If you do not agree, you must discontinue using our services immediately.
1. User Accounts, Credentials & Security
To access the primary ordering, delivery, or merchant dashboards, you are required to establish a secure user account. You agree that:
- Information Integrity: You must supply an active, verified email address, a full legal name, and an active, verified 10-digit mobile phone number conforming to local telecommunication mandates.
- Authentication Safety: You must configure a secure password containing a minimum of 8 characters. You are solely responsible for preventing unauthorized access, session leaks, or credential sharing.
- Account Responsibility: All activities, payment transactions, and orders placed under your credentials will be deemed as initiated directly by you. You must report any suspected breach immediately to our security desk.
2. Ordering, Fees, Taxation & Delivery Services
Distdel operates as a double-sided digital logistics aggregator platform.
- Pricing & Payouts: Menu item prices are determined directly by the registered merchant partners. Distdel does not artificially inflate prices except when clearly detailing promotional adjustments or delivery surcharges.
- Logistical Fees: Every order is subject to a standardized delivery fee (nominally ₹40, subject to distance and surge pricing multipliers) and platform processing charges.
- Taxation: In compliance with Section 52 of the Central Goods and Services Tax (CGST) Act, Distdel collects Tax Collected at Source (TCS) on behalf of merchants and levies GST at the applicable rate (standard 5% or 18% based on the product category).
3. Order Cancellations & Modification Protocol
Due to the perishable nature of food and food preparation timelines, cancellation windows are strictly governed by automated state engines:
- The 60-Second Window: Diners may modify or cancel an order without penalty only within 60 seconds of order submission.
- Active Preparation: Once the order changes state from "PENDING" to "ACCEPTED" or enters the "PREPARING" stage by the merchant, no modifications or cancellations are permitted. The diner is liable for 100% of the transaction value.
- Merchant Cancellation: In the event that a merchant cancels an order due to item stockout, or if the platform fails to assign a rider, a full automated refund will be processed to the original payment source.
4. Merchant Partner & FSSAI Verification
All culinary, retail, and grocery merchants listing items on Distdel must confirm they comply with Indian food safety standards:
Merchants must submit a valid 14-digit FSSAI license number, valid Business PAN card, and verified GSTIN (matching state codes) during the onboarding wizard. Payouts are systematically held until the onboarding documents pass administrative validation. Failure to maintain active licensing will result in instant deletion from the merchant index.
5. Aggregator Disclaimer & Limitation of Liability
Distdel operates strictly as a logistical technology facilitator. We do not manufacture, prepare, package, or store any edible items.
All warranties regarding food hygiene, quality, correct allergen warnings, ingredient freshness, and portion sizes are the exclusive responsibility of the merchant partners. Distdel and its affiliates, directors, or employees shall not be liable for any dietary illness, bodily harm, or damages arising out of merchant negligence.
6. Platform Access & Intellectual Property Rights
All software code, database tables, visual UI components, SVG vector graphics, logo assets (including the primary Distdel logo), and content layouts are protected under trademark and intellectual property rights owned by Distdel Technologies Private Limited. You may not copy, reverse-engineer, frame, or scrape data without explicit written consent.
7. Governing Law and Jurisdiction
These Terms & Conditions shall be governed by, and construed in accordance with, the laws of India. Any legal actions, proceedings, or arbitration arising from platform access will be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
